Welcome to Oxillary LLC. These Terms and Conditions ("Terms") govern your access to and use of our website, automated quoting tools, and B2B electronic component procurement services (collectively, the "Services"). By accessing our Services, you agree to be bound by these Terms.

1. Business-to-Business (B2B) Operations

Oxillary LLC operates strictly as a Business-to-Business wholesale distributor. By placing an order, you represent and warrant that you are purchasing components (including but not limited to microcontrollers, semiconductors, and PCBs) for commercial, engineering, or manufacturing purposes, and not for personal, family, or household consumer use.

2. Orders, Virtual Batching, and Constructive Title

• Order Acceptance: All purchase orders, Bills of Materials (BOM), and payments processed through our infrastructure are subject to acceptance by Oxillary LLC.
• Scheduled Production Runs: We utilize demand aggregation to secure volume-tier factory pricing. By placing an order, you acknowledge that your components may be part of a scheduled production batch, which governs the estimated lead time.
• Constructive Title: Oxillary LLC acts as the legal seller of record. Title to the physical hardware passes to you upon dispatch from our tier-1 manufacturing partners or designated third-party logistics (3PL) facilities.

3. Return Policy (All Sales Final)

Due to the wholesale nature of our electronic component distribution, all sales are final. We do not accept returns for buyer's remorse, project cancellations, or ordering errors.

• DOA Exception: Exceptions are made exclusively for components verified as Dead On Arrival (DOA) or containing factory defects. Claims for DOA components must be submitted in writing to orders@oxillary.com within 15 days of the delivery date.

4. Shipping, Customs, and International Transit

Oxillary LLC facilitates direct supply chain logistics from international manufacturing hubs.

• Estimated transit times are not guaranteed delivery dates. We are not liable for delays caused by global freight networks, customs inspections, or acts of God.
• Unless specifically itemized in your invoice, the buyer is solely responsible for any applicable import duties, tariffs, or local taxes assessed by U.S. Customs and Border Protection upon entry.

5. Limitation of Liability

Oxillary LLC is a distributor, not the original manufacturer of the silicon or components provided. We do not warrant that the components are fit for any particular purpose or critical application (e.g., medical devices, aerospace). In no event shall Oxillary LLC, its members, or affiliates be liable for any indirect, incidental, special, or consequential damages—including loss of profits, data, or physical property—arising from the failure, defect, or use of the supplied electronic components. Our total liability shall not exceed the original purchase price of the specific components in question.

6. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Florida.
